Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ParaSarah platform, website, and services (collectively, the "Service") operated by ParaSarah ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using ParaSarah, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a law firm or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

ParaSarah is a SaaS platform that automates routine voice calls for real estate law firms using AI voice technology. The Service provides:

• Automated outbound voice calls for document collection, scheduling coordination, and proactive status updates
• Automated pre-closing reminder calls
• An inbound voice assistant for attorneys
• Call transcription, recording, and summarization
• SMS follow-up messaging
• A web-based dashboard for managing files, parties, and call automation

ParaSarah is a call automation tool. It is not a law firm, does not provide legal advice, and is not a substitute for the professional judgment of a licensed attorney. All legal questions encountered during automated calls are escalated to the subscribing attorney.

3. Accounts and Registration

To use ParaSarah, you must create an account using Google OAuth authentication. You are responsible for:

• Maintaining the security of your Google account credentials
• All activity that occurs under your account
• Ensuring that all information you provide is accurate and current
• Notifying us immediately of any unauthorized access to your account

You may invite team members (paralegals, staff) to your firm's ParaSarah account. You are responsible for the actions of all team members you authorize. Account owners can assign roles that control access levels within the platform.

4. Subscription and Payment

4.1 Plans and Pricing

ParaSarah offers subscription plans with included monthly call minutes. Current plan details and pricing are available at parasarah.com/pricing. We reserve the right to modify pricing with 30 days' written notice to active subscribers.

4.2 Free Trial

New accounts receive a 14-day free trial with 50 minutes of call time (whichever limit is reached first). No credit card is required for the trial. At the end of the trial period, you must select a paid plan to continue using the Service.

4.3 Billing

Paid subscriptions are billed monthly or annually in advance through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms.

4.4 Overage Minutes

If you exceed your plan's included minutes in a billing cycle, additional minutes are billed at the overage rate specified in your plan ($1.50/minute for standard plans). Overage charges are billed at the end of the billing cycle.

4.5 Cancellation

You may cancel your subscription at any time through the Service's billing settings. Upon cancellation, your access continues until the end of the current billing period. Annual plans may be canceled with a prorated refund for remaining full months. Your data is retained for 30 days after cancellation, after which it is permanently deleted.

5. Voice AI and VAPI Usage

ParaSarah uses VAPI.AI's voice agent platform to place and receive calls on your behalf. By using the Service, you acknowledge and agree that:

• Calls are made by an AI voice agent, not a human
• All calls begin with a recording consent disclosure as required by applicable law
• Call recordings, transcripts, and metadata are stored and processed as described in our Privacy Policy
• The AI agent will identify itself as calling from your firm but will not misrepresent itself as human
• You are responsible for ensuring that automated calls comply with applicable telecommunications laws in your jurisdiction, including the Telephone Consumer Protection Act (TCPA)
• ParaSarah will never provide wire transfer instructions via voice call or text message as a security measure

6. Your Responsibilities

As a user of ParaSarah, you agree to:

• Use the Service only for lawful business purposes related to your legal practice
• Ensure that you have appropriate consent or legal basis to contact parties via automated calls and text messages
• Provide accurate contact information for all parties added to the platform
• Review and approve AI-generated content, including status notes used in automated calls
• Promptly address escalations and situations flagged by the AI for attorney attention
• Comply with all applicable laws, regulations, and professional ethics rules governing your practice

7. Prohibited Uses

You may not use ParaSarah to:

• Make calls to parties who have opted out of receiving automated communications
• Harass, threaten, or intimidate any person
• Transmit misleading, fraudulent, or deceptive information
• Violate any applicable law, regulation, or professional ethics rule
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use the Service to provide legal advice through the AI agent
• Share or distribute wire transfer instructions through the platform
• Interfere with or disrupt the Service's infrastructure or other users' access
• Resell, sublicense, or redistribute the Service without written permission

8. Intellectual Property

ParaSarah and its original content, features, and functionality are owned by ParaSarah and are protected by copyright, trademark, and other intellectual property laws. Your data, including file information, party details, and firm data, remains your property. You grant us a limited license to process your data solely for the purpose of providing the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• ParaSarah is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate in all circumstances
• We are not liable for any decisions made by you or your clients based on information communicated by the AI agent
• Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or client relationships

You acknowledge that ParaSarah is a tool to assist your practice and does not replace your professional judgment, ethical obligations, or duty of care to your clients.

10. Indemnification

You agree to indemnify, defend, and hold harmless ParaSarah, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party related to calls made through the Service on your behalf.

11. Termination

We may suspend or terminate your access to the Service immediately if: (a) you breach these Terms; (b) you fail to pay applicable fees; (c) we are required to do so by law; or (d) we determine that your use of the Service poses a risk to other users, third parties, or our infrastructure. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 8, 9, 10, and 12.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Georgia. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the account owner at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
